Medroid AI – Terms of Use (Applicable to Indian Users only)

This document is an electronic record in terms of the Information Technology Act, 2000 and the rules thereunder, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Consumer Protection Act, 2019, and the Consumer Protection (E-Commerce) Rules, 2020. This electronic record is generated by a computer system and does not require any physical or digital signatures.
This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of the Medroid mobile application and its website [www.medroid.ai] (collectively, the "Platform").
The Platform is owned and operated by Medroid AI, Inc. a company incorporated in Delaware, USA, with its registered office in 131 Continental Dr, Suite 305 Newark, DE 19713, USA (hereinafter referred to as "Medroid", "We", "Us", or "Our").
Your use of the Platform and its services is governed by the following terms and conditions ("Terms of Use") and the applicable policies which are incorporated herein by reference, including the Privacy Policy, Shipping Policy, and Cancellation, Return & Refund Policy ("Policies"). By accessing, browsing, or using the Platform in any manner, you ("You", "Your", or "User") signify your agreement to be bound by these Terms of Use.
We reserve the right, at Our sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time without any prior written notice to You. It is Your responsibility to review these Terms of Use periodically for updates. Your continued use of the Platform following the posting of changes will mean that You accept and agree to the revisions. As long as You comply with these Terms of Use, We grant You a personal, non-exclusive, non-transferable, limited privilege to enter and use the Platform.
BY IMPLIEDLY OR EXPRESSLY ACCEPTING THESE TERMS OF USE, YOU ALSO ACCEPT AND AGREE TO BE BOUND BY ALL MEDROID POLICIES AS AMENDED FROM TIME TO TIME.
Grievance Redressal Mechanism
In accordance with the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020:

1. Definitions
- "AI Triage Tool" means Medroid's proprietary artificial intelligence-based symptom checker and health assessment tool, which provides preliminary, non-diagnostic health information.
- "Diagnostics Partner" means a licensed third-party diagnostic laboratory or pathology center partnered with Medroid to provide sample collection and testing services.
- "E-Commerce Products" means the health, wellness, and other general merchandise sold by Sellers on the Platform.
- "Intermediary" has the meaning ascribed to it under the Information Technology Act, 2000. Medroid operates as an intermediary connecting Users with various Third-Party Service Providers.
- "Pharmacy Partner" means a licensed third-party pharmacy registered on the Platform to dispense and deliver medications against a valid Prescription.
- "Platform" means the Medroid mobile application and website.
- "Prescription" means a valid prescription issued by a Registered Medical Practitioner in accordance with applicable laws.
- "Registered Medical Practitioner" or "RMP" means a medical professional registered with the National Medical Commission (NMC) or any State Medical Council, who provides Telehealth Services on the Platform.
- "Seller" means a third-party merchant, other than a Pharmacy Partner, selling E-Commerce Products on the Platform.
- "Services" collectively refers to the AI Triage Tool, Telehealth Consultations, and the facilitation of transactions for E-Commerce Products, Medications, and Diagnostic Tests through the Platform.
- "Telehealth Services" means the remote medical consultations provided by RMPs to Users via the Platform's audio, video, or chat functionalities.
- "Third-Party Service Providers" means Sellers, RMPs, Pharmacy Partners, and Diagnostics Partners.
2. Scope of Services & Medroid's Role as an Intermediary
Medroid provides an online platform offering the following Services. You understand and explicitly agree that Medroid's role is strictly limited to that of a technology facilitator and Intermediary.
AI Triage & Health Assessment Tool
The Platform includes an AI Triage Tool for informational purposes only. THIS TOOL DOES NOT PROVIDE MEDICAL ADVICE. It is not a substitute for professional medical diagnosis, advice, or treatment from a qualified RMP. No doctor-patient relationship is created by using the AI Triage Tool. You use this tool entirely at your own risk. Medroid disclaims all liability for any actions taken or not taken based on the output of this tool.
E-commerce Marketplace
The Platform is a marketplace where Users can purchase E-Commerce Products from third-party Sellers. The contract of sale is a strictly bipartite contract between You and the Seller.
Telehealth Consultations
The Platform facilitates connections between Users and independent RMPs for Telehealth Services. The RMP is solely responsible for the medical advice, diagnosis, and any Prescription provided. The doctor-patient relationship exists exclusively between You and the RMP. Medroid does not practice medicine and is not liable for any act, omission, or advice of the RMP.
Pharmacy Services
The Platform connects Users with licensed Pharmacy Partners for the fulfillment of Prescriptions. The Pharmacy Partner is solely responsible for verifying the Prescription, and for the quality, accuracy, dispensing, and delivery of medications.
Diagnostic Services
The Platform connects Users with licensed Diagnostics Partners for booking blood tests and other pathology services. The Diagnostics Partner is solely responsible for sample collection, processing, and the accuracy of test reports.
At no time shall Medroid hold any right, title, or interest over any products or be liable for any services provided by Third-Party Service Providers. We do not make any representation or warranty as to the quality, accuracy, efficacy, or suitability of any product or service offered on the Platform.
3. User Account, Password, and Security
- Eligibility: Use of the Platform is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. Persons who are "incompetent to contract" are not eligible.
- Registration: You must register an account by providing accurate, current, and complete information, including Your name, mobile number, and email address. Your mobile number will serve as your primary identifier.
- Account Security: You are solely responsible for maintaining the confidentiality of your account credentials (including password and OTPs) and for all activities that occur under your account. You agree to notify Medroid immediately of any unauthorized use or security breach. Medroid shall not be liable for any loss or damage arising from Your failure to comply with this provision.
- Data Deletion: In accordance with applicable laws, if an account remains inactive (no login or transaction) for a continuous period of two (2) years, Medroid reserves the right to deactivate the account and purge associated data, except for records required to be maintained by law.
4. User Conduct and Rules on the Platform
Your use of the Platform shall be strictly governed by the following principles:
You shall not host, display, upload, modify, publish, transmit, or share any information that:
- Belongs to another person and to which You do not have any right.
- Is defamatory, obscene, pornographic, paedophilic, invasive of another's privacy, harassing, libellous, hateful, racially or ethnically objectionable, or otherwise unlawful.
- Harms minors in any way.
- Infringes any patent, trademark, copyright, or other proprietary rights.
- Violates any law for the time being in force.
- Deceives or misleads the addressee about the origin of the message or knowingly and intentionally communicates any information which is patently false or misleading in nature but may reasonably be perceived as a fact.
- Impersonates another person.
- Threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order.
You shall not use the Platform for any fraudulent purpose, including but not limited to:
- Misusing promotional codes or offers.
- Returning wrong, damaged, or used products.
- Engaging in "doctor shopping" to obtain Prescriptions for controlled substances.
- Placing orders with the intent of commercial resale.
- Using any "deep-link," "page-scrape," "robot," or other automated device to access or monitor any portion of the Platform.
Medroid reserves the right, at its sole discretion, to suspend or terminate Your account, cancel any orders or appointments, and forfeit any credits without notice if You are found to be in breach of these terms.
5. Terms of Sale, Consultations, and Tests
E-Commerce Products & Medications:
- Listing: All commercial terms (price, warranty, shipping costs) are set by the Seller or Pharmacy Partner. Medroid does not warrant the accuracy of product descriptions, images, or pricing.
- Order Acceptance: An order placed by You is an offer to buy. The contract for sale is formed only when the Seller/Pharmacy Partner dispatches the product.
- Prescription for Medications: You must upload a clear, valid, and complete Prescription to order prescription medications. The Pharmacy Partner has the absolute right to reject any Prescription it deems invalid, incomplete, or inappropriate.
Telehealth Consultations:
- Booking: You may book appointments with available RMPs. All consultation fees are payable in advance.
- No Guarantee: Medroid does not guarantee that a Telehealth Service will result in a Prescription. The RMP will use their professional judgment to determine the best course of action.
- User Responsibility: You are responsible for providing accurate and complete health information to the RMP. Hiding information may lead to inaccurate advice for which Medroid and the RMP shall not be liable.
Diagnostic Tests:
- Booking & Pre-requisites: You are responsible for following any pre-test instructions (e.g., fasting).
- Reports: Test reports will be made available on the Platform. Medroid is not responsible for the interpretation of these reports. You must consult a qualified RMP for interpretation and next steps.
6. Pricing, Payment, and Billing
- Currency & Taxes: All prices are in Indian Rupees (₹) and are inclusive of Goods and Services Tax (GST), unless stated otherwise.
- Payment Facility: Medroid provides a payment facility as a facilitator. We accept major credit/debit cards, net banking, UPI, and digital wallets. Cash on Delivery (COD) may be available for select orders and pin codes at Our sole discretion and may be disabled for accounts with a high return rate.
- Transaction Verification: For transactions equal to or exceeding ₹2,00,000, You must provide a copy of Your PAN card, failing which the order will be cancelled as per Income-tax Rules.
- Platform Fee: Medroid may levy a Platform Fee and/or Convenience Fee on certain orders or services, which will be displayed at the time of checkout. This fee is non-refundable.
7. Cancellation, Returns, and Refunds
Our Cancellation, Return & Refund Policy is part of these Terms. Key terms are:
E-Commerce Products:
- Cancellation: You may cancel an order before it is dispatched by the Seller.
- Returns: Returns are accepted within 7 days of delivery for most items, provided they are unused, in original condition, with all tags and packaging intact. This does not apply to non-returnable items such as personal care, hygiene products, and perishables. The Seller's decision on accepting a return is final.
Medications:
NO RETURNS OR REFUNDS: In accordance with standard pharmaceutical practice and for safety reasons, medicines once sold and delivered cannot be returned or exchanged. A refund will only be processed if the Pharmacy Partner delivered a wrong or damaged item, which must be reported within 24 hours of delivery with photographic evidence.
Telehealth & Diagnostic Services:
- Cancellation: You may cancel a booked appointment or test up to 24 hours before the scheduled time for a full refund. Cancellations made within 24 hours of the appointment are non-refundable.
- No-Show: If You fail to attend a scheduled consultation or be present for sample collection, no refund will be issued.
Refund Processing: Approved refunds will be processed to the original payment method within minimum of 5 and maximum of 20 business days. For COD orders, refunds will be processed via bank transfer after You provide the necessary details. Medroid may deduct return shipping charges or other fees as applicable.
8. Limitation of Liability
IN NO EVENT SHALL MEDROID BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE PLATFORM OR SERVICES.
MEDROID'S LIABILITY, IN ANY CIRCUMSTANCE, IS LIMITED TO THE AMOUNT OF FEES OR COMMISSION, IF ANY, PAID BY YOU TO MEDROID FOR THE SPECIFIC SERVICE OR PRODUCT GIVING RISE TO THE CLAIM.
WE SHALL NOT BE LIABLE OR RESPONSIBLE FOR ANY ACTIONS, INACTIONS, ADVICE, OR NEGLIGENCE OF ANY THIRD-PARTY SERVICE PROVIDER (SELLERS, RMPS, PHARMACY PARTNERS, DIAGNOSTICS PARTNERS). WE EXPRESSLY DISCLAIM ANY AND ALL RESPONSIBILITY AND LIABILITY IN THAT REGARD.
9. Indemnity
You shall indemnify and hold harmless Medroid, its parent, subsidiaries, affiliates, and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys' fees, made by any third party or penalty imposed due to or arising out of Your breach of these Terms of Use and Policies, or Your violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party.
10. Intellectual Property Rights
All material on the Platform, including images, text, illustrations, trademarks, and logos, is protected by copyrights, trademarks, and other intellectual property rights. The material is for Your personal, non-commercial use only. You must not copy, reproduce, republish, or distribute such material in any way without the prior written consent of Medroid.
11. Governing Law & Dispute Resolution
These Terms of Use shall be governed by and construed in accordance with the laws of the United States of America. Any dispute, claim or controversy arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Delaware, USA.
12. Termination
Medroid may, in its sole and absolute discretion, suspend or terminate Your use of the Platform or any Service if it believes You have breached, violated, abused, or unethically manipulated any term of these Terms of Use. If We terminate your use, We may delete any content or materials relating to Your use of the Service and We will have no liability to You or any third party for doing so, subject to legal requirements for data retention.
13. Miscellaneous
- Severability: If any provision of these Terms is deemed invalid or unenforceable, that provision will be struck, and the remaining provisions will remain in full force and effect.
- Waiver: Our failure to enforce any right or provision will not be considered a waiver of those rights.
- Assignment: You may not assign or transfer Your rights under these Terms. We may assign Our rights and obligations without restriction.

Cancellation & Refund Policy

NCR GRUHALAXMI DEVELOPERS believes in helping its customers as far as possible, and has therefore a liberal cancellation policy. Under this policy:
- Cancellations will be considered only if the request is made within 7 days of placing the order. However, the cancellation request may not be entertained if the orders have been communicated to the vendors/merchants and they have initiated the process of shipping them.
- NCR GRUHALAXMI DEVELOPERS does not accept cancellation requests for perishable items like flowers, eatables etc. However, refund/replacement can be made if the customer establishes that the quality of product delivered is not good.
- In case of receipt of damaged or defective items please report the same to our Customer Service team. The request will, however, be entertained once the merchant has checked and determined the same at his own end. This should be reported within 7 days of receipt of the products.
- In case you feel that the product received is not as shown on the site or as per your expectations, you must bring it to the notice of our customer service within 7 days of receiving the product. The Customer Service Team after looking into your complaint will take an appropriate decision.
- In case of complaints regarding products that come with a warranty from manufacturers, please refer the issue to them.
- In case of any Refunds approved by the NCR GRUHALAXMI DEVELOPERS, it'll take 3-5 days for the refund to be processed to the end customer.
Shipping & Delivery Policy

For International buyers, orders are shipped and delivered through registered international courier companies and/or International speed post only. For domestic buyers, orders are shipped through registered domestic courier companies and /or speed post only. Orders are shipped within 0-7 days or as per the delivery date agreed at the time of order confirmation and delivering of the shipment subject to Courier Company / post office norms.
NCR GRUHALAXMI DEVELOPERS is not liable for any delay in delivery by the courier company / postal authorities and only guarantees to hand over the consignment to the courier company or postal authorities within 0-7 days from the date of the order and payment or as per the delivery date agreed at the time of order confirmation.
